Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Maxx Command Center platform (“Service”), provided by ScaleX, Inc. (“ScaleX,” “we,” “us,” or “our”). By signing up, logging in, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of Service
Maxx Command Center is a secure, multi-tenant enterprise portal that helps organizations turn fragmented procurement data into a unified source of truth for spend, engagements, budgets, initiatives, and governance. Features include the Spend Explorer, Engagement Explorer, Initiative Builder, Budget Overview, Governance & Compliance tools, and the AI Assistant.
3. Accounts and Eligibility
You must be at least 18 years old and authorized by your organization to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or security breach.
4. Customer Data
You retain ownership of any data, documents, or materials you upload to the Service (“Customer Data”). You grant ScaleX a limited license to host, process, display, and analyze Customer Data solely to provide and improve the Service for your organization.
You represent that you have all necessary rights to upload Customer Data and that its use in the Service will not violate any law or third-party rights. ScaleX will treat Customer Data as confidential and will not use it to train AI models or for any purpose other than operating the Service without your consent.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or contractual obligation;
- Infringe intellectual property or other proprietary rights;
- Upload malware, viruses, or other harmful code;
- Attempt to bypass security controls, access other tenants’ data, or interfere with the Service’s infrastructure;
- Reverse engineer, decompile, or extract source code except as permitted by law;
- Send spam, phishing, or unsolicited communications; or
- Engage in activity that could disable, overburden, or impair the Service.
6. Fees and Payment
Use of the Service may be subject to fees and payment terms set forth in an order form, statement of work, or other agreement between your organization and ScaleX. Unless otherwise agreed, fees are non-refundable. Failure to pay may result in suspension or termination of access.
7. Confidentiality
Each party agrees to protect the other party’s confidential information and to use it only for the purposes contemplated by these Terms. ScaleX will maintain the confidentiality of Customer Data in accordance with our security practices and applicable law.
8. Intellectual Property
ScaleX retains all rights, title, and interest in and to the Service, including all software, designs, trademarks, logos, and documentation. Nothing in these Terms grants you any right to use ScaleX’s trademarks or intellectual property except as necessary to access the Service.
9. Termination and Suspension
ScaleX may suspend or terminate your access to the Service at any time if you violate these Terms, fail to pay applicable fees, or if required by law. You may stop using the Service at any time. Upon termination, your right to access the Service ceases immediately; Customer Data will be handled in accordance with our data retention practices and any separate agreement.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. ScaleX does not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. Outputs from the AI Assistant are for informational purposes only and should not be relied upon as financial, legal, or professional advice.
11. Limitation of Liability
To the maximum extent permitted by law, ScaleX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, arising out of or related to your use of the Service. Our total liability for any claim arising under these Terms shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless ScaleX and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Service, your Customer Data, or your violation of these Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
14. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms on this page with a revised effective date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
